The part of the Site intended for healthcare professionals only is intended to provide information on HCP’s activities, products and services, in particular via a space intended for professionals. In the context of the management of the Site, HCP collects “personal data” relating to visitors and registered professionals (hereinafter the “Users”) as described in the Privacy Policy of the Site.
The Terms, together with the Privacy Policy of this Site, have been drawn up to inform Users of the methods of collection, the measures applied to their personal data, as well as the rights Users are entitled to in respect of HCP’s use of such personal data collected. Users should therefore read these Terms and Privacy Policy collectively, and thoroughly.

1. By using our Site you accept these Terms

1.1 By clicking on the “Accept all” icon on the pop-up window when you first access our Site, you confirm that you accept these Terms of use of our Site, our Privacy Policy, and that you agree to comply with them.

5.1 This Site is owned by HCP and/or by its Affiliates (as the case may be). Affiliates mean any company being the direct or indirect ownership HCP. Use of the Site is a use that is strictly personal. Reproduction of a page of the Site in a context external to HCP or inserting a page belonging to HCP on a third party site is prohibited.

5.2 All of the graphics elements, the structure, and, more generally, the content of this Site (the “Contents”) are protected by copyright, trademark and other forms of intellectual proprietary rights. All rights, title, interest, and/or any other form of intellectual proprietary right in respect of the Contents are fully owned by, licensed to or controlled by HCP and/or by its Affiliates (as the case may be).

6. Links to other websites

6.1. The present hypertext links on the Site, directing the Users to other websites do not impose any liability on HCP or its Affiliates in respect of the contents of these external websites or those to which the newly added links may redirect. Users who wish to create a hyperlink to the Site must obtain express prior authorisation from HCP. Request for authorisation should be submitted via mail at the address indicated above.

7. Liability

7.1 The Contents of this Site are provided on an “as is” basis without warranties of any kind. To the fullest extent permitted by law, HCP makes no guarantee whether express or implied concerning the entirety or specific portions of its Site. While HCP strives to ensure the accuracy and currency of the information presented on the Site, it gives no guarantee or warranty to that effect. HCP shall not be held liable for any error(s) or omission(s) that may impact the accuracy or currency of the Site’s content.

7.2 To the fullest extent permissible by law, HCP bears no responsibility for any direct or indirect damages or losses that may arise from the User’s utilisation of its Site or, conversely, from the inability to access the Site. Further, HCP expressly disclaims any liability related to the accessibility and content external websites which HCP links, will link, or may link to this Site. In the event of difficulties in accessing the Site or interruptions in connection, HCP shall not be held accountable. HCP retains the right to unilaterally suspend or cease the publication of the Site without notice, without assuming any liability for any reason whatsoever for the aforementioned cessation or suspension.

7.3 More generally, HCP disclaims any responsibility for all direct or indirect damages or losses, irrespective of their causes, origins, nature, or consequences, resulting from Site access or the use of information provided on the Site. Users agree that they shall exercise their independent judgment in respect of their use of the Site and are fully responsible for any associated risks and liabilities that may arise from such access or use of information presented on the Site.

7.4 For the avoidance of doubt, any reference to “HCP” in this clause is intended to include HCP’s Affiliates.

8. Amendments

8.1. HCP reserves the possibility of amending and of updating the content presented on this Site without notice. Use of the Site is governed by the relevant terms in respect of use of the Site, including these Terms, applicable as at the time of the use. It is the responsibility of the Users to visit this Site regularly to review any changes that may have been made since the Users’ previous visit(s).

9. Severability

9.1. Should any one of the clauses of these Terms be or become null, void, unlawful, invalid or unenforceable, in particular due to a change in legislation, law, or regulation, that clause shall be deemed severed and the validity and enforceability of the remaining clauses of these Terms shall not be affected.

10. Applicable Law

10.1. These Terms shall be construed and interpreted in accordance with, and shall be governed by, the laws of Singapore in all respects including performance. Any controversy, claim or dispute arising out of or relating to, or the breach of any provision of the present Terms, shall be determined by the Singapore courts, which shall have exclusive jurisdiction.

11. General

11.1. A failure by HCP to exercise or enforce any rights conferred upon HCP by these Terms, law, and/or in equity shall not be deemed to be a waiver or variation of any such rights or operate so as to bar the exercise or enforcement thereof at any subsequent time or times.

11.2. Users agree that HCP and/or its Affiliates is/are entitled to transfer our rights and obligations under these Terms to any company, firm or person. Users may not transfer their rights or obligations under these Terms to anyone else.
